NON-DISCLOSURE AGREEMENT (NDA)
This Non-Disclosure Agreement ("Agreement") is entered into as of [DATE] between:

1. CONFIDENTIAL INFORMATION
"Confidential Information" means any data or information (oral or written) related to the business operations, trade secrets, financial information, technical data, or proprietary information of the Disclosing Party.
2. OBLIGATIONS
The Receiving Party agrees to:
(a) Keep the Confidential Information strictly confidential
(b) Not disclose it to any third party without prior written consent
(c) Use it solely for the purpose of [PURPOSE]
(d) Protect it with at least the same degree of care used for its own confidential information
3. EXCEPTIONS
This Agreement does not apply to information that:
(a) Is or becomes publicly available through no fault of the Receiving Party
(b) Was known to the Receiving Party prior to disclosure
(c) Is independently developed by the Receiving Party
(d) Is required to be disclosed by law or court order
4. TERM
This Agreement shall remain in force for [DURATION, e.g., 2 years] from the date of execution.
5. GOVERNING LAW
This Agreement shall be governed by the laws of India. Any disputes shall be subject to the jurisdiction of courts in [CITY].
6. REMEDIES
The Receiving Party acknowledges that breach of this Agreement may cause irreparable harm, entitling the Disclosing Party to seek injunctive relief.
